Terms of Service
Last updated: June 2025
Services
Devra provides custom software development services including but not limited to websites, web applications, Discord bots, automation tools, and related digital products ("Services"). All work is delivered on a project basis unless otherwise agreed in writing. Scope, deliverables, and timelines are defined per engagement before work begins.
Payment
Payment terms are agreed upon before each project begins. We typically require a deposit before starting work, with the remainder due upon completion or at agreed milestones. Failure to pay outstanding invoices may result in the suspension or withholding of deliverables until payment is received.
Intellectual Property
Upon full payment, the client receives ownership of all custom code and assets created specifically for their project. Devra retains the right to display completed work in our portfolio unless otherwise agreed. We may retain ownership of any proprietary tools, libraries, or frameworks used during development that were created independently of the client engagement.
Revisions and Scope
Each project includes a defined number of revision rounds as agreed in the project brief. Work outside the agreed scope will be quoted and billed separately. Devra reserves the right to decline scope changes that would materially alter the project after work has commenced.
Warranties and Liability
Devra warrants that all deliverables will be original work and will function as specified at the time of delivery. We do not warrant that our work will be free of bugs in perpetuity or that it will be compatible with future third-party updates. Our liability is limited to the total amount paid for the specific engagement giving rise to a claim.
Confidentiality
We treat all client information shared with us as confidential. We will not disclose your project details, business information, or any non-public materials to third parties without your consent, except as required by law.
Termination
Either party may terminate an engagement with written notice. In the event of client termination, any work completed up to that point will be invoiced at the agreed rate. Deposits are non-refundable once work has commenced.
Governing Law
These terms are governed by applicable law in the jurisdiction of Devra's principal place of business. Any disputes will be resolved through good-faith negotiation where possible.
Changes to These Terms
We may update these terms from time to time. Continued engagement after changes are posted constitutes acceptance of the updated terms.
